Mass Barter Convention
Dear merchant users, in order to regulate barter transactions on the platform and protect the legitimate rights and interests of participants, please read the Barter Convention carefully. By entering the Barter Platform, you are deemed to have clearly understood the words and expressions of the Barter Convention, promised to abide by the provisions of the Convention, and voluntarily assumed the liability for breach of contract.
1. General Provisions
1. This Convention is formulated in accordance with the relevant barter rules of the Barter Platform and the relevant laws and regulations of the People's Republic of China.
2. The purpose of this Convention is to maintain the barter order of the public barter platform, regulate the barter behavior, and protect the legitimate rights and interests of all parties to the barter and the public interest.
3. All merchants participating in the platform are the owners of the platform, and co-construction, sharing, win-win, fairness, justice and voluntariness are the basic principles of the public barter platform.
4. This Convention applies to all trading activities of the Barter Platform System.
Second, the barter subject
The Barter Platform is open to enterprises that agree with this Convention around the world, and does not accept applications from merchants with a transaction volume of less than 100,000 MASS. All enterprises and individuals who agree with and abide by the rules and regulations and management methods of public barter can become the main body of public barter. Barter entities are divided into trading members and registered members. Trading members enjoy the rights stipulated by the public barter, including but not limited to publishing information, opening stores, background management, online barter, complaints and suggestions, etc., and registered members can only browse information and cannot enjoy other rights.
3. Barter scope
The barter scope of mass barter covers all kinds of production materials, daily necessities and various services. Members must engage in barter transactions within the legal scope of business, and the goods or services provided by barter must comply with relevant laws and regulations. Members shall ensure the authenticity of their barter goods or services, and the barter platform shall uniformly manage and review and enter them on the shelves according to the commodity standards. The content of barter transactions is divided into two types: barter and barter. Commodity barter refers to the barter of tangible products in the field of manufacturing, and service barter refers to the barter of intangible products in the field of services.
Fourth, barter mode
1. Barter online
The Barter platform provides members with professional online barter services, including both desktop and mobile channels. Merchants enjoy the rights and interests of displaying goods, publishing information, processing orders, online settlement, barter protection, etc. The barter trading platform and information channel can enable members to conduct online information inquiry and transaction in any country, any place and at any time without geographical and industry restrictions, and the specific transaction process is as follows:

Tenants can put their products on the store display. If there is a one-to-one commodity barter transaction, if a third-party guarantee is required, Volkswagen Barter will initiate a one-plus-two method for the e-exporter and the e-in, and will provide third-party guarantee services for the e-out party and the e-in, sign a three-party contract, and the two parties will be matched by Volkswagen Barter to reach a barter transaction.
5. Online payment
Online barter payments are settled in mass.
1. What is mass?
MASS is a monetary unit of measurement that takes RMB as the axis and the US dollar as the fulcrum, and the world's currencies are priced, valued and settled in real time through the market exchange rate. A certain amount of mass indicates that the holder has the right to purchase goods or services of equivalent value to mass within the mass barter system. Mass is based on physical goods, services and merchant credit, and is measured in RMB (i.e., 1mass = 1 RMB).
2. How to get mass
(1) Cash credit
The merchant will transfer the cash to the account of Dazhong Barter, and the currencies of various countries will be converted into mass at the real-time price of the market exchange rate, and the corresponding mass will be recharged to the customer's platform account according to the exchange ratio of 1 yuan = 1 mass according to the amount of cash received.
(2) Barter income
If the goods or services displayed on the Volkswagen Barter platform are bartered by other customers, and the two parties successfully trade, the party who gets the goods or services will pay all their MASS to the other party.
(3) Pledge credit
The merchant pledges the ownership of tangible goods or the service certificate of intangible goods to the public barter platform, and the public barter evaluates the value of the collateral, and with the consent of both parties, the public barter platform will give the pledgee MASS credit recharge.
(4) Guarantee credit
Merchants can apply for a third-party guarantee, and the third-party guarantee agency has the responsibility to compensate for the mass credit recharge given after being evaluated by the public barter platform. The specific transaction process is as follows:
3. Characteristics of mass
(1) Mass is a denominated currency in RMB;
(2) MASS is limited to recycling within the mass barter trading platform;
(3) Mass cannot be transferred through bank and cannot be circulated in reality;
(4) MASS cannot reverse withdraw over-limit;
(5) MASS cannot buy or sell in any form.
4. Mass withdrawal rules
MASS is limited to the reverse equal withdrawal of the principal, which only refers to the amount corresponding to the MASS exchanged through the transfer of funds. Specific examples:
Merchant A transfers 10,000 RMB to the Barter platform and has a balance of 10,000 MASS, while Merchant B does not transfer 10,000 MASS to the Barter platform, and the account balance is 0 MASS.
(1) Merchant A pays 4000 mass online to Merchant B and replaces it for Merchant B's product. At this time, the account balance of merchant A is 6000 mass. If merchant A withdraws from the barter platform, the maximum amount that can be withdrawn is 6,000 yuan in the account balance, and the right to withdraw 4,000 yuan of the expenditure will be lost;
(2) Merchant A does not generate any barter transactions on the Volkswagen Barter platform, and the account balance is still 10,000 mass, and if Merchant A withdraws from the Volkswagen Barter Platform, the maximum amount of withdrawal applied for is RMB 10,000;
(3) Merchant B does not transfer money to the Volkswagen Barter Platform, but through the replacement of Merchant A, the account balance changes from 0 mass to 4000 mass, and Merchant B withdraws from the Volkswagen Barter Platform and can apply for a withdrawal amount of 0 yuan.
(4) The mass obtained by the merchant through pledge or guarantee cannot apply for withdrawal, and can only purchase goods on the public barter website.
6. Obligations
1. Membership Obligations
(1) Ensure that all application materials provided to Dazhong Barter are true and valid, and agree to cooperate with Dazhong Barter to learn about the qualifications, reputation, operation and other relevant information of members from relevant departments and units;
(2) Strictly abide by the barter rules of the public barter platform and the relevant laws and regulations of the country, operate in good faith, and pay taxes in accordance with the law;
(3) assume and actively repay all debts arising from the use of MASS replacement products;
(4) Follow the pricing principle of commodity exchange, that is, determine the market price of the commodity and the quantity of the commodity at the time of exchange;
(5) After the price and quantity of the easy-to-exchange product are confirmed, the easy-out party shall deliver the goods in a timely manner according to the agreed quality and quantity, and negotiate and issue a formal invoice according to the requirements of the easy-to-enter party;
(6) Agree to pay the barter commission to the public barter network in the form of monetary funds according to the agreed 4% of the barter amount. When signing a barter contract or entrusting a transfer mass, the commission is paid in a lump sum by transfer or cash.
(7) Members shall keep their registered accounts, login passwords, and payment passwords safe. Leakage or loss caused by non-platform security incidents shall be borne by the member.
(8) Members shall not rent or lend the member account of the Public Barter Platform, otherwise it will be regarded as a unilateral breach of contract and shall bear the economic losses caused thereby.
(9) MASS is only used for online barter settlement, not for any other purpose, and if the member uses MASS for other purposes, he or she will bear all the consequences arising therefrom.
2. Obligations of Volkswagen Barter
(1) Open a member account according to the requirements of the member, and set up a customer service help center to answer all aspects of the merchant's related platform technology, methods, questions, etc.;
(2) To provide members with barter fund account settlement and reconciliation services;
(3) Provide a safe environment for members to barter online, and supervise both parties to abide by the rules of barter transactions;
(4) Establish a complaint acceptance system, disclose complaint procedures and complaint handling;
(5) Inquiries and applications for changes in the accounts of members' funds shall be replied to within 30 days;
(6) Keep the credit status of members confidential.
7. Transaction violations
The following types of violations in the course of trading will be penalized:
1. Delayed delivery
It refers to the behavior of the e-exporter after receiving the order and the mass paid by the e-inlet is in a supervised state, indicating that it cannot deliver the goods immediately or within 72 hours, which hinders the efficient barter rights and interests of the e-in. If the E-Exporter delays delivery, it fails to perform the obligation of truthful description or the compensation, replacement, maintenance and other services stipulated in the Consumer Protection Service, and the compensation amount shall be the compensation amount stipulated by the two parties through negotiation, and the compensation amount will be directly transferred by the Volkswagen Barter Platform from the deposit frozen in the transaction to the E-Entrant.
2. Breach of promises
It refers to the failure of the E-Entrant Party to provide the promised services to the E-Entrant Party in accordance with the commitment, which hinders the satisfaction rights and interests of the E-Entrant Party. The e-out party must truthfully perform its service obligations, otherwise it will be regarded as a violation. The compensation amount is 100% of the actual transaction mass of the product, and the compensation amount will be directly transferred by the public barter platform from the frozen margin of the transaction to the easy entry party.
VIII. Returns and Refunds
For return requirements, if the easy-in party has sufficient reasons to explain that the easy-out party has violated the transaction, including but not limited to the above circumstances, and the returned product or service does not affect the secondary replacement (the packaging, insurance card, and tag are complete), the public barter determines that the return is supported. All costs such as shipping costs caused by the return will be borne by the easy delivery party.
If the E-Buy-in Party has sufficient legitimate reasons to explain that the E-Exit Party has an illegal transaction and wishes to cancel the barter, it can negotiate with the E-Exporter for a refund, but if the negotiation fails, the Dazhong Barter Platform will intervene in the settlement in accordance with the principles of fairness and justice.
9. Customer complaints
Members can complain and report any phenomena that disrupt the order of the platform, such as false barter, empty hanging without goods, and false delivery on the public barter platform. Volkswagen Barter will maintain the fairness and impartiality of barter transactions, and will be dealt with seriously once verified.
10. Business negotiations
In the process of barter transaction for members, in principle, who is easy to go out of customs declaration and inspection, who is easy to enter who clears customs, logistics and transportation costs can be negotiated by both parties, and the specific barter link fee payment agreement is supplemented.
